Terms of Service

These terms are an agreement between you and Quirence, Inc. ("Quirence", "we", "us"), the company that operates rinkata. By creating a rinkata account, or by using rinkata, you accept these terms. If you do not accept them, do not use rinkata.
If you accept these terms for an organization, you confirm that you have the authority to bind that organization, and "you" means that organization.
You must be at least 18 years old to use rinkata.
1. What rinkata is
rinkata keeps a project's intent, work, and shipped evidence in sync. You create Goals, specs, tickets, decisions, ideas, and notes. You connect AI agents that read and change the same project.
rinkata is a hosted service. We do not offer a self-hosted version.
2. Your account and your workspace
A workspace holds your projects and your team. When you sign up, we create a workspace with you as its only member and its administrator.
- You join somebody else's workspace by invitation only. Signing up never adds you to a workspace because your email domain matches theirs.
- You are responsible for what happens under your account, and for keeping your sign-in method secure.
- An administrator can deactivate a member. That member loses access. Their work stays in the workspace and stays attributed to them.
3. Plans, seats, and payment
rinkata has two plans: Free and Team. Team is billed per seat, monthly or annually.
The seat count follows your workspace membership automatically. When a person joins, the quantity on your subscription goes up and your bill goes up. When a member is removed or deactivated, it goes down. We never refuse a person because of the seat count, and we do not ask you to confirm the change first.
- Your card statement reads
RINKATA. The merchant of record is Quirence, Inc. - Payment, card storage, and the billing portal are handled by Stripe. Card details never reach rinkata's systems.
- Prices are in US dollars.
- We can change prices. A change to a price you already pay takes effect at your next renewal, and we will tell you before it does.
4. Taxes
We do not currently collect or remit sales tax, VAT, or GST anywhere. Prices do not include tax. If a tax authority requires us to collect tax on your purchase, we will start collecting it, and your invoice will show it.
You are responsible for any tax that applies to you and that we do not collect.
5. Cancellation, refunds, and failed payments
The refund and cancellation policy forms part of these terms.
In short: you can cancel at any time from the billing portal, and your access continues to the end of the period you already paid for. We do not refund partial periods, except where the refund policy says we do.
If a payment fails, Stripe retries it. You keep the Team plan while those retries run. When the retries are exhausted, collection stops and your workspace moves to the Free plan. Your data is not deleted.
6. Acceptable use
Do not:
- break the law with rinkata, or help somebody else break it
- upload content that you have no right to upload
- try to break, overload, or gain unauthorized access to rinkata, or to another customer's workspace
- resell rinkata, or use it to build a competing service
- use the AI features to produce content that is unlawful, or that harasses or endangers a person
- work around plan limits, rate limits, or seat counting, including by creating several free workspaces to avoid paying
We can suspend or close an account that breaks this section. Where we reasonably can, we will tell you first.
7. Your content
Your content stays yours. You keep every right you hold in the Goals, specs, tickets, documents, and other material that you put into rinkata.
You give us the permission we need to run the service: to store your content, to show it back to you and your workspace, to back it up, and to send it to the sub-processors named in the Privacy Policy so that the features you use can work.
You are responsible for holding the rights to the content you upload, and for what that content contains.
8. AI features
rinkata sends content to Google Gemini for chat, knowledge-base builds, status narration, and ticket drafting. The Privacy Policy states exactly what is sent and what is not.
Assume two things about any AI output:
- It can be wrong. Check it before you rely on it. Do not treat it as legal, financial, medical, or other professional advice.
- It is not unique to you. A similar prompt from another customer can produce similar output.
You are responsible for what you do with AI output.
9. Connecting agents and other services
You can connect Claude, ChatGPT, Grok, GitHub, and similar services to your workspace. When you do, your project data goes to that provider under your agreement with them, not ours. We do not control what they do with it. Read their terms before you connect them.
You can end a connection at any time from Settings → Connected apps. That takes effect immediately.
10. Availability and support
We work to keep rinkata available, but we do not promise any particular uptime, and we can change, suspend, or withdraw features.
Support is by email at support@quirence.ai. We do not offer a guaranteed response time.
11. Ending the agreement
You can stop using rinkata at any time, and cancel as section 5 describes.
We can suspend or end your access if you break these terms, if the law requires it, or if we stop offering the service. If we stop offering the service, we will give you reasonable notice and a way to get your data out.
12. Changes to these terms
We can change these terms. When a change is material, we will tell you by email, in the product, or both before it takes effect. If you keep using rinkata after a change takes effect, you accept it.
The date at the top of this page is the date of the current version.
13. Disclaimers
rinkata is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that rinkata will be uninterrupted or error-free, or that it will meet your requirements.
14. Limitation of liability
To the fullest extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data.
- Our total liability arising out of or relating to these terms is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
Nothing here limits liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify Quirence against claims that arise from your content, or from your use of rinkata in breach of these terms.
16. Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts in California have exclusive jurisdiction, and both parties consent to it.
17. General
- If one provision is unenforceable, the rest stays in force.
- If we do not enforce a provision, we have not waived it.
- You cannot assign these terms without our consent. We can assign them to a successor of our business.
- These terms, the Privacy Policy, and the refund policy are the entire agreement between us about rinkata.
